These Terms & Conditions ("Terms") govern access to and use of TaskTap.ai ("TaskTap," "we," "us," "our"), including access purchased through AppSumo lifetime deal promotions ("LTD"). By purchasing, accessing, or using TaskTap.ai ("User," "you"), you agree to these Terms.

1. Overview

TaskTap.ai is a web-based task management, employee accountability, reporting, reminders, and AI productivity platform, operated from India and provided subject to these Terms.

2. AppSumo Lifetime Deal

2.1 License, Not Ownership

Purchasing a TaskTap.ai Lifetime Deal ("LTD") through AppSumo grants you a limited, non-exclusive, non-transferable, revocable license to access and use TaskTap.ai for as long as the Service exists, subject to the plan tier and usage limits attached to the code(s) you redeemed. Purchasing an LTD code does not transfer any ownership interest in TaskTap.ai, its software, brand, or underlying intellectual property to you. This license is personal to the account that redeems the code and may not be sublicensed, resold, gifted, or transferred to another individual or organization without our prior written consent. We reserve the right to revoke the license if it is used in violation of these Terms, including fraud, abuse, or violation of the Acceptable Use section below.

2.2 Code Stacking

Each AppSumo code redeemed on your account unlocks one tier of features and usage limits (for example, additional users, workspaces, storage, or AI credits) as described on the applicable AppSumo listing at the time of your purchase. You may redeem multiple codes on the same account to stack tiers and increase your limits, up to the maximum number of codes stackable as stated on the AppSumo listing for your purchase. Codes must be redeemed by the deadline communicated by AppSumo or TaskTap.ai; unredeemed codes may expire. Stacking limits are enforced per account, and attempting to circumvent per-account stacking caps by creating multiple accounts is considered abuse under the Acceptable Use section.

2.3 Refund Window

If you are not satisfied with TaskTap.ai, you may request a refund within sixty (60) days of your original AppSumo purchase date, in accordance with AppSumo's standard refund policy for Lifetime Deals. Refund requests must be submitted directly through AppSumo, not through TaskTap.ai support, as AppSumo processes the payment and refund on our behalf.

Once sixty (60) days have elapsed from the purchase date, the purchase is final and non-refundable, except where required by applicable law. Refunds result in immediate deactivation of the LTD license and associated account access and data as described in the Termination section.

2.4 Fair Use

LTD plans are intended for reasonable, ongoing use by a single organization consistent with the limits of the tier(s) purchased. We reserve the right to apply fair-use caps on resource-intensive features such as AI generation, storage, WhatsApp/email messaging throughput, and API usage, even where a plan is otherwise described as unlimited, in order to protect the stability and availability of the Service for all customers. If your usage materially exceeds what is typical for your plan tier and organization size, we will make reasonable efforts to notify you and discuss options before taking any action, which may include asking you to upgrade, throttling excess usage, or, in cases of clear abuse, suspending the account under the Termination section.

2.5 Future Changes to LTD Terms (Grandfathering)

We may update TaskTap.ai's plans, pricing, or feature packaging over time. If we make changes that would otherwise reduce or remove functionality you were granted under your LTD purchase, we will grandfather your account and continue to honor the feature set, usage limits, and lifetime access entitlements that were in effect for the tier(s) you purchased at the time of your original purchase. We may, at our discretion, offer LTD customers the option to move to a newer plan voluntarily, but we will never unilaterally strip previously granted LTD entitlements except by offering a mutually agreed replacement of substantially equivalent or greater value, or as required to comply with law, address security risks, or respond to abuse.

2.6 Company Continuity

In the event TaskTap.ai is acquired, merges with another company, or otherwise transfers substantially all of its assets, we will use commercially reasonable efforts to require the successor entity to honor existing LTD licenses on substantially the same terms. In the unlikely event that TaskTap.ai ceases operations and is unable to find a successor to continue the Service, we will provide LTD customers with at least sixty (60) days' advance notice where reasonably possible, along with a reasonable opportunity to export their Customer Data before the Service is shut down. Lifetime access is tied to the continued operation of the Service and does not entitle you to compensation, source code, or a perpetual standalone deployment if the Service is discontinued.

3. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract to use TaskTap.ai. If you are creating an account or using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. You may not use the Service if you are located in, or a resident of, a country or region subject to a government embargo or sanctions that would prohibit your use of the Service, or if you are listed on any government denied-party or restricted-party list. You are responsible for ensuring your use of TaskTap.ai complies with all laws and regulations applicable to you and your organization in your jurisdiction.

4. Account Registration

To use most features of TaskTap.ai, you must create an account by providing accurate, current, and complete information, including a valid email address. You agree to keep this information up to date. You are responsible for maintaining the confidentiality of your login credentials, including any passwords, API keys, or single sign-on access associated with your account, and for all activities that occur under your account, whether or not you authorized them. You must notify us promptly at hello@tasktap.ai if you become aware of any unauthorized access to or use of your account. We reserve the right to suspend or terminate any account that provides false, inaccurate, or misleading registration information, or that we reasonably believe has been compromised or is being used fraudulently.

5. Acceptable Use

You agree not to misuse TaskTap.ai. Prohibited activities include, without limitation:

Using the Service for any illegal purpose or in violation of applicable law.
Uploading, posting, or transmitting harassing, abusive, or unlawful content.
Introducing malware, or probing, scanning, or testing the security of the Service without authorization.
Reverse engineering, decompiling, or disassembling any part of the Service (see also the Intellectual Property section).
Reselling, sublicensing, or white-labeling the Service without our written permission.
Using the platform's WhatsApp or email features to send spam or unsolicited bulk messages.
Circumventing or attempting to circumvent usage limits or plan quotas.
Scraping, crawling, or harvesting data from the Service by automated means.
Impersonating any person or entity, or misrepresenting your affiliation with one.

6. Third-Party Services

TaskTap.ai relies on third-party services to deliver parts of the Service, including the WhatsApp Business API and Meta for messaging, AI providers for AI-powered features, and email providers for transactional and notification email. These third-party providers operate independently of TaskTap.ai and are governed by their own terms and policies. TaskTap.ai is not responsible for outages, downtime, policy changes, pricing changes, or service discontinuation by any third-party provider, and we are not liable for any resulting interruption or degradation of the Service.

7. Customer Data & Ownership

As between you and TaskTap.ai, you and your organization retain ownership of all data you submit to or generate within the Service ("Customer Data"), including but not limited to tasks, employee records, uploaded files, reports, KPIs, comments, audit logs, and all other Customer Data. TaskTap.ai does not claim ownership over Customer Data. We process Customer Data solely to operate, maintain, and improve the Service on your behalf, acting as a processor of your data rather than an owner of it.

8. AI Features

TaskTap.ai includes AI-powered features that generate summaries, recommendations, and insights based on your Customer Data.

Important: AI-generated summaries, recommendations and insights are provided for informational purposes only and should always be reviewed by users before making business or HR decisions.

9. Subscription Plans

TaskTap.ai offers monthly and annual subscription plans. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time; cancellation takes effect at the end of the then-current billing period, and fees already paid are non-refundable except as required by law. Access purchased through an AppSumo Lifetime Deal is governed separately under the AppSumo Lifetime Deal section above and is not subject to recurring subscription billing.

10. Service Availability

We work to keep TaskTap.ai available and performant, including through routine maintenance and monitoring. However, we do not guarantee that the Service will be uninterrupted, error-free, or available at all times. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our reasonable control.

11. Intellectual Property

TaskTap.ai, including its software, design, branding, and underlying technology, is owned by TaskTap.ai and its licensors and is protected by intellectual property laws. Without our prior written permission, you may not copy, clone, redistribute, reverse engineer, decompile, or white-label the Service. These Terms do not grant you any rights to TaskTap.ai's trademarks, logos, or brand assets.

12. Security

We implement commercially reasonable technical and organizational safeguards designed to protect Customer Data against unauthorized access, loss, or misuse. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security of the Service or your data.

13. Termination

We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have engaged in fraud, abuse, illegal activity, or a violation of these Terms. You may stop using the Service at any time. Upon termination, your right to access the Service ends, and we may delete or archive Customer Data associated with your account consistent with our data retention practices and applicable law.

14. Limitation of Liability

To the maximum extent permitted by applicable law, TaskTap.ai and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, will not exceed the total fees actually paid by you to TaskTap.ai (or, for AppSumo Lifetime Deal customers, the amount paid for your LTD code(s)) in the twelve (12) months preceding the event giving rise to the claim.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in this section limits liability that cannot be limited or excluded under applicable law.

15. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in India for any dispute arising out of or relating to these Terms or the Service.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through an in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
